Sino-Ocean Service Holding Limited has announced plans to overhaul its constitutional documents to align with recent amendments to Hong Kong Listing Rules. Key points are as follows:
• Scope of Changes – The Board proposes to replace the existing memorandum and articles of association with a new set that: 1) Incorporates HKEX’s treasury-share regime. 2) Enables electronic dissemination of corporate communications. 3) Supports an expanded paperless framework, covering hybrid general meetings, electronic voting, and e-payment of dividends or other corporate action proceeds. 4) Introduces related consequential and housekeeping updates.
• Approval Process – The amendments require a special resolution at the Company’s annual general meeting scheduled for Thursday, 21 May 2026. A detailed circular and AGM notice will be dispatched to shareholders in due course.
• Governance – As at the announcement date (27 April 2026), the Board comprises three executive directors (Yang Deyong, Hou Min, Zhu Geying), two non-executive directors (Cui Hongjie, Zhai Senlin) and three independent non-executive directors (Dr. Guo Jie, Ho Chi Kin Sammy, Leung Wai Hung).
