Fullshare Holdings Limited will hold its 2025 annual general meeting (AGM) on 29 June 2026 at 3:00 p.m. in Hong Kong. Key resolutions include:
1. Share Capital Mandates • Issue Mandate: Directors seek authority to issue up to 20% of the company’s issued share capital, equivalent to 127.35 million new shares, based on the 636.76 million shares outstanding as of 2 June 2026. • Repurchase Mandate: Authority to buy back up to 10% of issued shares, or 63.68 million shares. Any repurchased shares may be cancelled or held as treasury shares; treasury shares, if resold, will count toward the 20% limit. Both mandates will run until the earlier of the next AGM, expiry of statutory time limits, or shareholder revocation.
2. Board Composition Executive directors Du Wei, Shen Chen and Ge Jinzhu will retire by rotation and offer themselves for re-election. The nomination committee supports their return to the board.
3. Shareholder Record Dates The register of members will close from 24 June 2026 to 29 June 2026, inclusive. Share transfers must be lodged by 4:30 p.m. on 23 June 2026 to qualify for AGM attendance and voting.
4. Outstanding FY25 Financial Statements Audited results for the year ended 31 December 2025 remain delayed. Consequently, the upcoming AGM will not consider the FY25 accounts, auditor re-appointment or related remuneration. An adjourned AGM will be convened once the documents are finalised.
The board recommends shareholders vote in favour of all proposed ordinary resolutions.
