China Biotech Services Holdings Limited announced that all conditions under the Sale and Purchase Agreement for the sale of the entire issued share capital of PHC Medical Diagnostic Centre Limited (PHC) and Premier Medicare Services Limited (PMS) have been fulfilled, and transaction completion occurred on 13 August 2026.

Following completion, PHC and PMS have ceased to be subsidiaries of the group and will no longer be consolidated into its financial statements. Management described the divestment of the Hong Kong laboratory testing operations—classified as continuously loss-making—as a major milestone in the company’s strategic transformation.

Resources released from the disposal will be redirected to the development of a full-chain boron neutron capture therapy (BNCT) business encompassing medical services, drugs and equipment. The company aims to build an internationally competitive BNCT technology platform with leading domestic capabilities.

The board comprises three executive directors—Chairman Liu Xiaolin, Dr. Huang Song and Dr. Yin Ye—and three independent non-executive directors—Mr. Yan Guoxiang, Dr. Guo Yuantao and Dr. Zhang Xiao.
