Honworld Group Limited has issued a circular convening its 2026 annual general meeting (AGM) for 10:00 a.m. on 28 May 2026 at the Hongcheng Kaiyuan Mingting Hotel in Huzhou, Zhejiang.
Key resolutions to be tabled include:
1. Capital authorities • General share issuance mandate of up to 20% of issued share capital (excluding treasury shares) as at the AGM date. • Share repurchase mandate of up to 10% of issued share capital, with an extension mandate allowing the repurchase amount to be added to the issuance limit.
2. Board composition • Re-election of four directors: Executive Directors Huang Dachun (Chairman) and Li Qinghua (CEO); Non-Executive Director Wang Yanping; and Independent Non-Executive Director Ng Wing Fai. • Ng Wing Fai has confirmed his independence and is recommended by the nomination committee for re-election.
3. Auditor • Re-appointment of Grant Thornton Hong Kong Limited as auditor for another term, having served the group in 2025.
4. Corporate governance update • Adoption of amended and restated Articles of Association to align with recent Listing Rules changes, covering a paperless listing regime, treasury-share framework and uncertificated securities market implementation.
Logistics & voting • Shareholders must lodge transfers by 4:30 p.m. on 21 May 2026. The register closes from 22 May to 28 May 2026 inclusive. • All resolutions will be decided by poll; proxy forms must reach Computershare Hong Kong Investor Services no later than 48 hours before the meeting.
Honworld’s board recommends shareholders vote in favour of all proposals.
