Shanghai FourSemi Semiconductor Co., Ltd. (FourSemi) announced that its Board resolved on 28 August 2026 to propose the “2026 H Share Incentive Scheme,” aimed at bolstering long-term sustainable growth, enhancing employee retention and aligning management interests with those of shareholders.

Key Scheme Features • Award Shares Source: (i) H shares to be repurchased on the secondary market; (ii) newly issued H shares; and (iii) treasury shares, if available. • Eligible Participants: Directors (excluding independent non-executive directors), supervisors, senior management, other employees, related-entity personnel and designated service providers. • Compliance Framework: The plan constitutes a share scheme under Chapter 17 of the Hong Kong Listing Rules, requiring separate approvals from both shareholders and the Stock Exchange’s listing committee. • Issuance Restriction: No new H shares have been issued under the proposed scheme during the six-month period since FourSemi’s H-share listing on 31 March 2026.

Next Steps An extraordinary general meeting (EGM) will be convened to seek shareholder approval. A circular detailing the scheme terms and EGM arrangements will be distributed in due course. Implementation remains contingent on (1) passage of a special resolution at the EGM and (2) Stock Exchange approval for the listing and dealing of any new H shares allotted under the scheme.
