Shanghai Able Digital Science&Tech Co., Ltd. (ABLE DIGITAL) announced that its board of directors approved a plan to implement H-share full circulation for 4.71 million domestic unlisted shares. The proposed conversion represents approximately 7.07% of the company’s existing issued share capital.
The initiative follows the China Securities Regulatory Commission’s Guidelines on Application for “Full Circulation” of Domestic Unlisted Shares of H-share Companies, first released in November 2019 and updated in August 2023. Under the plan, the designated shares held by one participating shareholder will be converted into H-shares and listed for trading on the Main Board of The Stock Exchange of Hong Kong.
No shareholder meeting is required for the conversion under the company’s Articles of Association. However, the transaction remains contingent upon filing with the CSRC and securing necessary approvals from both the CSRC and the Hong Kong Stock Exchange. The share quantity may be adjusted for corporate actions such as bonus issues or capitalisation of reserves before completion.
As of the 27 August 2026 announcement date, ABLE DIGITAL had not yet submitted the filing to the CSRC. The company stated it will release further updates on the process in accordance with regulatory requirements.
Management cautioned investors that the conversion and listing are still subject to multiple regulatory procedures and approvals, advising prudence when dealing in the company’s securities.
