QIDIAN GUOFENG (01280) has announced that on February 6, 2026, Guizhou Renhuai and Junxiang entered into a termination agreement concerning the advertising agreement and its related supplementary agreements. According to this termination agreement, both parties have mutually agreed to terminate the advertising agreement and all associated supplementary agreements effective January 15, 2026. Pursuant to the termination agreement, all rights and obligations of Guizhou Renhuai and Junxiang under the advertising agreement ceased as of January 15, 2026, except as otherwise stipulated within the termination agreement itself. The parties further agreed that, in accordance with the termination clauses of the advertising agreement, neither party shall bear any liability for breach of contract due to the early termination of their agreement. Following the termination, neither party may assert any rights, claims, or demands against the other concerning the advertising agreement. Both parties also confirmed that regarding advertisements published by Junxiang for Guizhou Renhuai during the performance period of the advertising agreement up to January 15, 2026, Junxiang has irrevocably and unconditionally waived all payment obligations of Guizhou Renhuai. As a result of entering into the termination agreement, the proposed arrangement to issue and allot 33.61 million consideration shares to Junxiang at an issue price of HK$4.89 per share, which was intended as settlement for the first year's service fee under the advertising agreement, will no longer proceed. The Board believes that the termination agreement will not have any material adverse impact on the Group's business operations or financial condition. The Board also considers the terms of the termination agreement to be fair and reasonable, and in the overall interests of the Company and its shareholders.
