MINDTELL TECH Schedules 21 May 2026 AGM to Vote on Name Change, Share Mandates and New Incentive Scheme

Mindtell Technology Limited (MINDTELL TECH) will hold its annual general meeting on 21 May 2026 at 2:30 p.m. in Hong Kong. Key items on the agenda cover corporate governance, capital management and a proposed rebranding.

The board will ask shareholders to adopt the audited consolidated results for the year ended 30 November 2025, re-elect two executive directors (Zhang Rongxuan and Lyu Xingjian) and three independent non-executive directors (Yuen Chun Fai, Chan Laam Chi, Sham Che Wai), and authorise the board to set directors’ remuneration.

D & Partners CPA Limited is nominated for re-appointment as independent auditor, with remuneration to be fixed by the board.

Capital authorisations include: • A general mandate allowing the board to allot and issue shares up to 20% of the company’s outstanding share capital. • A repurchase mandate permitting buy-backs of up to 10% of issued shares. • An extension of the issue mandate by the number of shares actually repurchased, capped at an additional 10%.

The board also seeks approval for a new share incentive scheme capped at 10% of the company’s issued shares. Upon the scheme’s effectiveness, the existing share option scheme will be terminated.

A special resolution proposes changing the English name from “Mindtell Technology Limited” to “Jufeel International Holdings Limited,” pending approval by the Cayman Islands Registrar of Companies.

The share register will close from 15 May 2026 to 21 May 2026, inclusive. Only shareholders on record as of 21 May 2026 are entitled to attend and vote at the AGM.
