CAI CORP to Seek Shareholder Approval for Director Re-election and 20% Issuance Mandate at 8 May 2026 AGM

CAI CORP has convened its 2026 Annual General Meeting for 8 May 2026 at 11 a.m. at 11/F, CAI Building, 54–58 Electric Road, Tin Hau, Hong Kong. Shareholders will vote on eight key items:

1. 2025 Results Reception • The board will present the audited financial statements and both directors’ and auditors’ reports for the year ended 31 December 2025.

2. Board Composition • Re-election of six directors: executive directors Mr. Hong Yupeng and Mr. Lui Cheuk Hang Henri; non-executive director Mr. Cai Wensheng; and independent non-executive directors Mr. Li Jianbin, Ms. Hsieh Ya-fang and Prof. Li Jin. • The board will also seek authority to set directors’ remuneration.

3. Auditor Appointment • Elite Partners CPA Limited is nominated for re-appointment as external auditor, with the board authorised to fix its fees.

4. General Issuance Mandate • Directors seek a mandate to issue, allot or deal with shares—and dispose of treasury shares—up to 20% of the company’s issued share capital as of the resolution date, excluding shares issued under a rights issue, share option scheme or scrip dividend plan.

5. Share Repurchase Mandate • Authorization to repurchase up to 10% of issued shares (excluding treasury shares) within the “Relevant Period.”

6. Extension Mandate • The aggregate issuance limit in the above 20% mandate may be increased by the number of shares repurchased under the 10% mandate, effectively allowing potential issuance of up to 30% of the existing share base, subject to market repurchases executed.

Key Administrative Dates • Register closure for voting: 5–8 May 2026 (both dates inclusive). • Record date for voting entitlement: 8 May 2026. • Proxy submission deadline: 6 May 2026 at 11 a.m. Hong Kong time.

All resolutions will be decided by poll in line with Hong Kong Listing Rules, and results will be published on the HKEX and company websites. The notice also outlines contingency plans should severe weather disrupt the meeting schedule.
