Solis Holdings (02227) Invests S$1.00 Million in Perpetual Bond Issued by Hotel Properties Limited

Solis Holdings Limited (Stock Code: 02227) announced that on 19 March 2026 it purchased a perpetual bond issued by Singapore-listed Hotel Properties Limited for S$1.00 million, settling at S$1.00 million plus a S$0.50 million premium (total consideration: S$1.00 million; approximately HK$6.10 million).

The bond carries a 4.38% coupon, payable semi-annually, and is redeemable at 100% of principal at the issuer’s option; no fixed maturity date applies. Funding for the acquisition was entirely sourced from Solis Holdings’ internal resources. The transaction was executed in the open market, and the counter-party is an independent third party.

Under Hong Kong’s Listing Rules, the standalone transaction—and, on an aggregated basis with a previous S$1.05 million bond purchase executed on 2 September 2025—pushes certain percentage ratios above 5% but below 25%, classifying the deal as a “discloseable transaction.” Consequently, it requires public disclosure but not shareholder approval under Chapter 14.

Management stated that the acquisition aligns with Solis Holdings’ investment strategy to diversify its portfolio across asset classes and generate stable returns within acceptable risk parameters.

Hotel Properties Limited, the bond issuer, is listed on the Mainboard of the Singapore Exchange and focuses on hotel ownership, management, property development, and investment holding. Solis Holdings, incorporated in the Cayman Islands and listed in Hong Kong, provides design, build, and installation services for mechanical and electrical systems.
