Hua Lien Int’l Shareholders Grant Full Approval to All AGM Resolutions; 100% Support for Issuance and Buy-Back Mandates

Hua Lien International (Holding) Company Limited (Hua Lien) reported that every resolution tabled at its 28 May 2026 annual general meeting (AGM) secured unanimous backing. All 1.35 billion votes cast—representing 100.00% of the votes counted—were in favour of each motion, with zero opposition recorded.

Key resolutions endorsed include:

• Adoption of the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and auditor’s reports.

• Re-election of executive directors Mr Wu Shurong, Mr Wang Xiang and Ms Huang Liping, and independent non-executive directors Mr Ma Yiu Tim and Mr Cheng King Yip; the Board was also authorised to determine directors’ remuneration.

• Re-appointment of BDO Limited as external auditor, with remuneration to be set by the Board.

• Granting of a general mandate permitting the Board to issue new shares— including any sale or transfer of treasury shares—up to 20% of issued share capital as at the AGM date.

• Authorisation for the Company to repurchase up to 10% of its issued shares, along with approval to extend the share-issuance mandate by the number of shares repurchased.

The Company had 2.19 billion shares in issue, all of which were entitled to vote. No shareholders were required to abstain, and none indicated an intention to oppose any proposal in advance.

Chairman and executive director Mr Wu Shurong presided over the meeting. Directors Ms Huang Liping, Mr Liu Jun, Mr Shi Zhu (duties suspended), Mr Ma Yiu Tim and Mr Cheng King Yip attended in person, while Mr Wang Xiang and Mr Li Baojian were absent due to other business commitments. Union Registrars Limited acted as the independent scrutineer overseeing the poll process.

The AGM’s outcome renews corporate mandates and confirms board composition, positioning Hua Lien for continued execution of its strategic and capital-management objectives in the 2026 financial year.
