Five New Regulatory Frameworks Unveiled to Restructure Property Financing System

The National Financial Regulatory Administration (NFRA) announced on August 28 via its official website a significant overhaul of real estate financing regulations. This initiative, aligned with central government directives to accelerate the development of a new model for the property sector, aims to protect homebuyer rights, satisfy reasonable financing demands, and foster high-quality growth within the industry.

To achieve these objectives, the NFRA, in collaboration with relevant authorities, has introduced five new management measures. These cover development loans for commercial housing, personal housing loans, commercial real estate loans, urban renewal project loans, and trust business activities within the real estate domain. According to a senior official from the NFRA, these measures consolidate existing policies while coordinating with frameworks led by the Ministry of Housing and Urban-Rural Development and the People's Bank of China, creating a cohesive financing system tailored to the real estate sector's new operational paradigm.

Where to begin with the new rules

The Commercial Housing Development Loan Management Measures (Trial) direct banking institutions to adopt a market-oriented and rule-of-law approach, using a project-focused lead bank model to meet the financing needs of development projects. The measures require banks to distinguish between the risks of the real estate group itself and those of individual projects. Lending decisions will now give greater weight to the project's standalone merits, with dedicated accounting, independent fund operations, and closed-loop management to mitigate delivery and credit risks. Loan tenors have been differentiated to align with the construction and sales cycles of pre-sale versus ready-property sales systems, with extended terms for projects sold after completion. Furthermore, these measures integrate with the existing "whitelist" mechanism. Loans issued under this framework will correspond to projects included in that list, thereby broadening the benefits of the whitelist policy to more development initiatives.

The Personal Housing Loan Management Measures (Trial) support both essential and improved housing needs through market-based principles while safeguarding buyer interests. A key change shifts the disbursement point for loans on pre-sold properties from the structural topping-out stage to after the project has obtained its completion filing, strengthening full-process risk management to fundamentally protect buyers. To enhance credit availability, the measures optimise the maximum debt-to-income ratio and extend the maximum loan term, thereby increasing buyers' borrowing capacity and offering a wider array of loan options. Recognizing the economic burden of transactions, the rules introduce convenient arrangements like "transfer with existing mortgage" for secondary market deals, reducing trading costs and better facilitating housing upgrades. Additionally, banks must tighten oversight of third-party partners to protect buyers from predatory loan intermediaries.

The Commercial Real Estate Loan Management Measures (Trial) establish a clear definition for commercial real estate loans and introduce the lead bank, project-based, and closed-loop management principles. Banks are tasked with developing robust management mechanisms to effectively identify, assess, monitor, control, and mitigate risks in compliance with regulations. Recognizing the distinct funding needs and repayment sources across different phases, the measures segment commercial real estate loans into three categories: development, acquisition, and operations. Detailed requirements pertaining to loan purpose, duration, borrower and project access criteria, and management are specified for each stage to better align credit provisions with market conditions. For coherence, the purposes of operational property loans will continue to follow the stipulations of the existing notice on operational property loan management.

The Urban Renewal Project Loan Management Measures (Trial) outline core principles for financial institutions engaging in this area, clarifying access requirements, loan uses, repayment sources, and fund management rules. Institutions are guided to create a dedicated "urban renewal project loan" product, determining appropriate loan amounts, terms, rates, and collateral measures to ensure precision and effectiveness. The measures encourage lenders to leverage their strengths, design comprehensive financial service packages tailored to project specifics under prudent risk control, and bolster financial support for urban renewal efforts. All four of these aforementioned measures take effect immediately upon issuance.

The Trust Company Real Estate Trust Business Management Measures (Trial), effective March 1, 2027, adhere to principles of serving the real economy, maintaining controlled risk, and implementing investor suitability standards. They require trust companies to operate on market and legal principles, leverage their unique strengths, enhance professional capabilities, and improve the adaptability, compliance, and sustainability of their services. Crucially, they mandate equal treatment for projects from real estate enterprises of all ownership types, promoting a diversified financial services channel that aligns with the new development model. The measures are designed to improve the precision and fit of trust services in property projects, emphasizing a project-centric approach, innovative use of the lead bank model, enhanced closed-loop fund management, and rigorous protection of investor rights. They further guide trust companies to establish sound management systems, fulfil fiduciary duties, and elevate service levels based on the real estate sector's specific characteristics. The rules define, classify, and set operational principles for real estate-related trust business, imposing detailed requirements on asset management trusts concerning independent due diligence, centralized decision-making, and project management, alongside specific stipulations for investing in non-standard assets. For asset service trusts, requirements are refined regarding the legality of trust purposes, authenticity of assets, and clarity of rights and obligations. Looking ahead, the NFRA and partner agencies will guide banking institutions in implementing these measures, delivering financial support and services suited to the new real estate development model and promoting the sector's high-quality advancement.
