Du Du Holdings EGM Green-Lights Capital Reduction and 10% Option Scheme Mandate

Du Du Holdings Limited announced that all resolutions tabled at the extraordinary general meeting (EGM) on 24 July 2026 were passed by poll with 100% approval.

The special resolution covering the proposed capital reduction and share sub-division received 167.22 million votes in favour, exceeding the 75% threshold required for special resolutions.

Two ordinary resolutions—(1) adoption of a new share option scheme and (2) establishment of a scheme mandate limit equivalent to 10% of the company’s issued share capital on the adoption date—also secured 167.22 million votes each, with no votes cast against.

As of the EGM date, the company had 344.21 million shares in issue, all of which were entitled to vote. No shareholders were required to abstain, and none indicated an intention to vote against any resolution.

Computershare Hong Kong Investor Services Limited acted as scrutineer, and all members of the board attended the meeting in person or electronically.

The approvals pave the way for Du Du Holdings to proceed with the capital structure adjustments and implement the refreshed equity-based incentive programme within the newly authorised 10% limit.
