FDB Holdings Calls 23 June 2026 AGM; Seeks New Issue & Buyback Mandates, Auditor Switch to RSM Hong Kong, and Updated Articles

FDB Holdings (01826) will hold its annual general meeting on 23 June 2026 in Hong Kong. Key resolutions include:

1. Capital Mandates • 20% General Mandate – Directors may issue up to 319.68 million new shares (based on 1.60 billion shares outstanding as at 27 May 2026). • 10% Repurchase Mandate – Authority to buy back up to 159.84 million shares. • Extension Mandate – Issued-share limit may be increased by the amount of shares repurchased. The board currently has no plans to issue or repurchase shares.

2. Board Composition Re-election of four directors: • Executive: Chairman/CEO Ng Kin Siu; Executive Director Yu Hongxiang. • Independent Non-executive: Leung Ka Man; Ren Yu.

3. Auditor Rotation • Present auditor OOP CPA & Co. will retire at the AGM. • Board proposes appointing RSM Hong Kong as auditor for the financial year ending 31 December 2026.

4. Corporate Governance Upgrade Shareholders will vote on adopting the Fifth Amended and Restated Articles of Association. Key changes include hybrid and electronic meeting provisions and alignment with the HKEX Core Shareholder Protection Standards effective 1 July 2025.

5. Administrative Details • Register of members closes 17 – 23 June 2026; record date is 23 June 2026. • Proxy forms must reach Tricor Investor Services no later than 48 hours before the meeting. • Board recommends shareholders support all resolutions.

As of the latest practicable date, FDB Holdings had no treasury shares or outstanding options. Completion of the proposed mandates would not reduce public float below HKEX requirements, according to directors.
