AGILE GROUP Subsidiary Divests Non-Core Environmental Assets for RMB1.15 Billion

AGILE GROUP (03383) announced that on March 5, 2026 (after trading hours), Yulin Yihua Environmental Technology Co., Ltd. (the "Buyer") entered into a letter of intent with the company's subsidiary, Yulin Xintao Environmental Technology Co., Ltd. (the "Seller"). Pursuant to the letter, the Buyer expressed its intention to acquire, for cash, real estate properties including land and factory buildings, as well as operational fixed assets such as equipment, pipeline networks, and construction in progress from the Seller. On March 27, 2026, the Seller and the Buyer entered into a formal agreement, under which the Buyer conditionally agreed to purchase the target assets for a consideration of RMB 1.15 billion.

The announcement stated that the Group's primary business is property development and property management, while the target assets are primarily used for environmental protection-related operations and constitute non-core assets for the Group. The Group intends to divest these non-core assets related to its environmental protection business through the sale, thereby further concentrating resources on its core primary businesses and enhancing the efficiency of the Group's resource allocation. Furthermore, the Directors believe that the disposal of the target assets will reduce the Group's liabilities and interest expenses, improve cash flow, and allow the Group to realize the value of assets associated with the environmental protection business.
