Pak Tak International Limited (Pak Tak) disclosed that all proposals tabled at its Special General Meeting (SGM) on 26 June 2026 were passed by wide margins, clearing the way for new and extended inter-company guarantee arrangements.
At the SGM, two ordinary resolutions were put to a poll:
1. Ratification of Guarantee Agreements I (and its extension), II, and III, together with all related transactions. 2. Approval of Fushun Xingzhou’s provision of guarantees to Fushun Huawei and/or Fushun Zongchuan under a Cross-guarantee Agreement, including the associated annual caps.
Shareholders cast 19.01 million votes (98.29%) in favour of each resolution, with only 0.33 million votes (1.71%) against, comfortably exceeding the simple-majority threshold required.
Voting base and participation • Pak Tak has 5.63 billion issued shares. • Substantial shareholder Mr Wu Qi, through Zongchuan Investment Holding Co. Limited, holds 0.95 billion shares (16.87%) and was required to abstain from voting. • Consequently, 4.68 billion shares held by independent shareholders were eligible to vote on the resolutions. • Tricor Investor Services Limited acted as scrutineer for the poll.
Governance notes All directors other than Mr Wu Zongchuan, who had other business commitments, attended the meeting in person or electronically. With both resolutions now effective, Pak Tak can proceed with the specified guarantee arrangements, strengthening its internal financing flexibility.
