Hesai Shareholders Approve Revised Supply of Products Framework with Sharpa

On 28 August 2026, Hesai Group held its second Extraordinary General Meeting (EGM) at the company’s Suzhou headquarters, where shareholders voted on a single ordinary resolution concerning an updated supply agreement with Sharpa and a revised annual cap.

The resolution received strong backing, with 581.64 million Class B Ordinary Shares—representing 99.98 % of the votes cast—voting in favour, while 118,872 shares (0.02 %) opposed and 140,352 shares abstained. No Class A shares were eligible to vote on the matter. Consequently, the proposal was duly passed by a simple majority.

Voting base dynamics were shaped by required abstentions. Co-founders Dr. Li Yifan, Dr. Sun Kai and Mr. Shaoqing Xiang, together with their associates, refrained from voting on 217.31 million shares (comprising all 215.99 million Class A shares and 1.32 million Class B shares). In addition, 15.10 million Class B shares reserved for potential future ADS issuances under the 2021 Plan abstained, pursuant to Hong Kong Listing Rule 17.05A. As a result, 1.02 billion Class B shares constituted the effective voting pool.

Tricor Investor Services Limited served as scrutineer for the poll. All seven board members—four executive directors and three independent non-executive directors—attended the meeting either in person or electronically.

Approval of the revised framework agreement and annual cap authorises any director to execute related documents and carry out transactions contemplated under the arrangement with Sharpa.
