Century Legend Schedules 5 June 2026 AGM; Proposes 20% Issue Mandate, 10% Buyback Authority

Century Legend (Holdings) Limited has issued a notice convening its 2026 annual general meeting (AGM) for 4:00 p.m. on 5 June 2026 at Unit 903, 9/F, Capital Centre, 151 Gloucester Road, Wanchai, Hong Kong. Key items on the agenda are as follows:

1. Financial Statements • Shareholders will receive and consider the audited financial statements and the directors’ and auditors’ reports for the financial year ended 31 December 2025.

2. Board Composition • Re-election of three directors: – Ms. Chu Ming Tak Evans Tania (Executive Director). – Mr. Lau Pui Wing (Independent Non-Executive Director and Audit Committee Chairman). – Mr. Wu BinQuan (Independent Non-Executive Director; member of the Audit, Nomination and Remuneration Committees). • Authorisation for the board to set directors’ remuneration.

3. Auditor Re-appointment • Renewal of Messrs. BDO Limited as external auditor, with board-approved remuneration.

4. General Mandate to Issue Shares • Directors seek authority to allot, issue or deal with additional shares up to 20% of the company’s existing issued share capital during the mandate period. • The mandate includes permission to grant offers or options that may require share issuance beyond the meeting date.

5. Share Repurchase Mandate • Authorisation for the company to repurchase its own shares on-market, capped at 10% of issued share capital during the mandate period.

6. Mandate Extension • Conditional on the repurchase mandate’s approval, the total number of shares repurchased may be added to the 20% issuance limit, effectively expanding the capacity for new share issues.

Administrative Details • The register of members will be closed from 2 June 2026 to 5 June 2026 (both days inclusive) to determine shareholder eligibility for AGM attendance and voting. Share transfers must be lodged by 4:30 p.m. on 1 June 2026. • Shareholders unable to attend in person may appoint proxies; proxy forms must be submitted at Boardroom Share Registrars (HK) Limited no later than 48 hours before the meeting. • Contingency arrangements are in place for severe weather; any postponement will be announced on the company and HKEX websites.

The resolutions, if approved, will give Century Legend’s board enhanced flexibility in capital management through share issuance and buyback capabilities for the forthcoming year.
