Yuk Wing Group Holdings Limited (Yuk Wing Group) has released an update on the status of its independent non-executive director, Mr. Wong Siu Keung Joe, in accordance with Hong Kong Listing Rules 13.51(2)(l) and 13.51B(2).
On 15 June 2026, the High Court of Hong Kong ordered the winding-up of China Water Industry Group Limited, where Mr. Wong has served as an independent non-executive director since 10 October 2012. The ruling followed a winding-up petition lodged on 17 November 2025 concerning an unpaid loan of RMB 0.22 billion, plus accrued interest, extended to an indirect non-wholly-owned subsidiary of China Water. The High Court appointed the Official Receiver as provisional liquidator on the same date.
Yuk Wing Group emphasized that the legal proceedings are confined to China Water and do not involve Yuk Wing Group or its subsidiaries. The Board considers that the winding-up order has no current or anticipated impact on the Group’s business operations and does not affect Mr. Wong’s suitability to continue serving as an independent non-executive director of Yuk Wing Group.
Mr. Wong has informed the Company that he is unaware of any existing or potential claims against him arising from the China Water proceedings. He also confirmed that, save for the disclosed matter, there is no additional information requiring disclosure under Listing Rules 13.51(2)(h) to 13.51(2)(v).
The Company states that the announcement fulfills its obligation to update shareholders on changes in directors’ information as mandated by the Listing Rules.
