China Water Affairs Group Limited has issued a circular convening its Annual General Meeting (AGM) for 28 September 2026 in Hong Kong, outlining several key resolutions for shareholder approval.
Dividend Proposal • A final dividend of HK$0.13 per share (FY25: HK$0.15) is recommended, payable on or about 13 November 2026 to shareholders on record as of 27 October 2026. • The register of members will be closed from 26 to 27 October 2026 for dividend entitlements.

Share Option Grant to Chairman • Conditional grant of 78.80 million share options to Chairman and Executive Director Duan Chuan Liang at an exercise price of HK$4.51 per share—above the HK$4.38 closing price on the 30 June 2026 grant date. • Options represent 4.84% of issued shares and are subject to five market-capitalisation hurdles ranging from HK$8.00 billion to HK$10.00 billion, unlocking tranches of 15.76 million options each. • Full exercise would raise Duan’s holding from 27.50% to 30.85%, potentially triggering a mandatory offer under the Takeovers Code; Duan states no intention to exercise in full.
Share Capital and Price Data • As of 25 August 2026, the company had 1.63 billion issued shares (excluding treasury shares). • Over the past 12 months the share price traded between HK$4.30 and HK$6.71.
Voting Arrangements • All AGM resolutions will be decided by poll. • Duan, his associates and other core connected persons (collectively holding about 27.50% of shares) will abstain from voting on the option-grant resolution. The AGM register closure runs from 23–28 September 2026 (or 23–30 September if weather postpones the meeting).
