HANSOH PHARMA lowers CB conversion price to HK$56.54, potential share issuance up 1.5%

Hansoh Pharmaceutical Group Company Limited (HANSOH PHARMA) will adjust the conversion price of its HK$4.68 billion zero-coupon convertible bonds (due 2033) following the interim dividend record date for the six months ended 30 June 2026.

• Conversion price: reduced from HK$57.39 to HK$56.54 per share, effective 28 September 2026.

• Dilution impact: maximum shares issuable on full conversion increases from 81.55 million to 82.77 million, an additional 1.23 million shares (+1.50%).

• Bond size unchanged: outstanding principal remains HK$4.68 billion; all other bond terms are unaffected.

The adjustment complies with the terms of the convertible bonds, reflecting the dividend-related reset mechanism. Chairlady Zhong Huijuan signed the announcement on 26 August 2026.
