Asia Grocery Distribution Limited will seek shareholder approval at its annual general meeting on 20 August 2026 for three key resolutions:
1) Share Issue Mandate • Directors are requesting authority to allot and issue up to 232.40 million new shares, representing 20% of the company’s 1.16 billion issued shares as at the latest practicable date. • The mandate would remain in force until the next AGM, an earlier shareholders’ resolution, or the statutory deadline, whichever comes first. • An additional mandate would allow the board to extend the issuance capacity by the number of shares repurchased under the buy-back mandate, capped at a further 10% of issued capital.
2) Share Buy-Back Mandate • The board seeks approval to repurchase up to 116.20 million shares, equivalent to 10% of issued capital. • Funding would come from internal cash resources and legally available reserves. • Full utilisation would raise controlling shareholders Sky Alpha Investments Limited’s stake from 51.88% to 57.64% but would not trigger a mandatory offer under Hong Kong’s Takeovers Code.
3) Corporate Governance Proposals • Re-election of executive directors Mr. Wong Siu Man (Chairman) and Mr. Wong Siu Wa (CEO), and independent non-executive director Mr. Wang Zhaobin. • Re-appointment of McMillan Woods (Hong Kong) CPA Limited as auditor; the audit fee for FY 2027 is estimated at HK$0.55 million.
Logistics • The AGM will be held at the company’s Kowloon headquarters at 11:30 a.m. on 20 August 2026. • Shareholders must lodge transfer documents by 4:00 p.m. on 14 August 2026 to qualify for attendance and voting rights.
