KWG Living Group Holdings Limited concluded its Annual General Meeting (AGM) on 3 June 2026 with all six proposed ordinary resolutions comfortably passing by poll, signalling strong shareholder endorsement for the group’s governance and capital-management agenda.
Unanimous Acceptance of 2025 Financials • Shareholders approved the audited consolidated financial statements for the year ended 31 December 2025, together with the directors’ and independent auditor’s reports. The resolution received 1.10 billion votes in favour (99.9996%), with just 4,561 votes against.
Board Composition Secured • Executive directors Mr Kong Jiannan and Mr Chen Wende were both re-elected, each securing 99.9996% support. • The board was also authorised to determine directors’ fees, backed by an identical 99.9996% approval rate.
Auditor Reappointment • Prism Hong Kong Limited was re-appointed as the Company’s external auditor, winning 1.10 billion votes (99.95%) in favour. The board is empowered to fix its remuneration.
Capital Management Mandates • Share buy-back mandate: Approved with 99.9996% support, permitting the board to repurchase shares up to the prescribed limit. • General issue mandate: Supported by 95.35% of votes, allowing the board to issue new shares and/or resell treasury shares. • Extension of issue mandate by adding repurchased shares: Carried with 99.95% approval.
Voting Base and Scrutiny The AGM was conducted on a poll basis across 2.03 billion issued shares. After accounting for 500 shares held in the company’s 2021 share-award scheme that were ineligible to vote, 2.03 billion shares carried voting rights. Computershare Hong Kong Investor Services Limited acted as independent scrutineer.
Attendance All directors attended the meeting save for Chairman Mr Kong Jianmin, who was absent due to other business commitments.
