ZYY names Yang Kun as Independent Director and Audit Committee Chair; Leo Chan steps down

Ziyuanyuan Holdings Group Limited (ZYY) has announced a board reshuffle effective 12 June 2026.

Key changes 1. Resignation: Independent non-executive director (INED) Leo Chan Chi-Fung has resigned to focus on other business commitments. His departure also ends his roles as Chairman of the Audit Committee and as a member of both the Remuneration and Nomination Committees. 2. Appointment: Yang Kun, 36, joins as an INED and assumes the position of Audit Committee Chairman. Yang brings approximately 13 years of finance and accounting experience, including recent posts as Executive Director and Vice President of China International Corporate Management Limited (since May 2023) and former Chief Financial Officer of Shenzhen Jinfuzi Network Technology Co., Ltd. (2021–2023). 3. Committee adjustments: Concurrent with Yang’s appointment, existing INED Hu Tao is added to the Nomination and Remuneration Committees.

Compensation and tenure • Yang has entered a three-year appointment contract effective 12 June 2026 with an annual remuneration of HK$0.10 million, aligned with market benchmarks and his responsibilities. • In line with ZYY’s Articles and GEM Listing Rules, he will retire at the first general meeting after his appointment and will be eligible for re-election.

Governance impact The board now comprises two executive directors, one non-executive director and three independent non-executive directors, maintaining compliance with GEM Listing Rules on board independence. Yang’s professional audit background and CPA qualification in the PRC are expected to strengthen the oversight role of the Audit Committee following Chan’s exit.
