Yuk Wing Group Plans Rights Issue of up to 1.37 Billion Shares at HK$0.10 Each; EGM Set for 14 September 2026

Yuk Wing Group Holdings Limited has called an Extraordinary General Meeting (EGM) for 11:00 a.m. on 14 September 2026 at Units 6505–11, 65/F, The Center, 99 Queen’s Road Central, Hong Kong. Shareholders will vote by poll on a single ordinary resolution authorising a substantial rights issue and related placing arrangements.

Key terms of the proposed capital raising are as follows:

• Size and price: Up to 1.368 billion new ordinary shares (“Rights Shares”) to be issued at HK$0.10 each, implying potential gross proceeds of approximately HK$136.80 million. • Entitlement ratio: Three Rights Shares for every one existing share held on the yet-to-be-specified record date (“Record Date”). • Eligibility: Only shareholders with registered addresses in Hong Kong on the Record Date qualify. Investors in other jurisdictions may be classified as “Excluded Shareholders.” • Listing condition: The transaction is subject to The Stock Exchange of Hong Kong Limited granting—and not revoking—approval for the listing of the Rights Shares in both nil-paid and fully-paid forms.

Unsubscribed Rights Shares and any provisional allotments attributable to Excluded Shareholders that remain unsold (“ES Unsold Rights Shares”) will be placed by Kingston Securities Limited under a placing agreement dated 24 July 2026. The placing will be conducted on a best-efforts basis at a price not lower than HK$0.10 per share.

Board authority: Directors will have discretion to allot and issue the Rights Shares, handle exclusions, and execute all documents necessary to complete the Rights Issue and related placing.

• Share transfer deadline for EGM eligibility: 4:30 p.m., 7 September 2026 • Register of members closure: 8 September 2026 – 14 September 2026 (both dates inclusive) • EGM date and time: 14 September 2026, 11:00 a.m.

Shareholders may appoint proxies to attend and vote; completed proxy forms must be lodged with Tricor Investor Services Limited at least 48 hours before the meeting. In case of a black rainstorm warning, typhoon signal no. 8 or above, or “extreme conditions,” the meeting will be postponed, with details to be announced via the Hong Kong Stock Exchange and the company’s website.
