Eminence ENT (00616) Signs Memorandum of Understanding for Potential Sale of 10% to 20% Stake in Treasure Art International Group

Eminence ENT (00616) has announced that on March 12, 2026, its directly wholly-owned subsidiary, Skill Master (as the potential seller), entered into a non-legally binding memorandum of understanding with Wing Yee (as the potential buyer). According to the memorandum, the seller intends to sell, and the buyer intends to acquire, a 10% to 20% equity interest in the target company, Treasure Art International Group (the potential sale). The target company is a limited company incorporated in the British Virgin Islands, primarily engaged in property development. As of the date of this announcement, the primary asset of the target company is a development property located at 646, 648, and 648A Castle Peak Road, Kowloon (the Fenghua Project), which is planned for development into student accommodation with an estimated value of approximately HKD 940 million. After considering the total estimated cost of developing the Fenghua Project into high-quality student accommodation, the company's directors believe that the potential sale, if finalized, presents a favorable opportunity for the company to share market risks with the buyer, generate immediate cash inflow, and secure a strategic partner to share future construction costs for the Fenghua Project.
