Century Legend (Holdings) Limited reported that every one of the six ordinary resolutions tabled at its 5 June 2026 annual general meeting (AGM) secured well over the required 50 % majority, with support levels ranging from 99.98 % to 100.00 % of votes cast.
Key voting outcomes 1. Financial Statements: 175.06 million votes (100.00 %) endorsed the audited consolidated financial statements for the year ended 31 December 2025.
2. Board Composition: • Executive Director re-election – Ms. Chu Ming Tak Evans Tania: 100.00 % approval. • Independent Non-Executive Directors – Mr. Lau Pui Wing and Mr. Wu BinQuan: 100.00 % approval for both appointments. • Director Remuneration: 100.00 % approval for the Board to fix directors’ fees.
3. Auditor: Re-appointment of BDO Limited, together with authorisation for determining its remuneration, received 100.00 % support.
4. Capital Mandates: • General mandate to allot and issue up to 20 % of issued share capital – 175.03 million votes in favour (99.98 %). • Share repurchase mandate of up to 10 % – 100.00 % approval. • Extension of the issue mandate by the amount of repurchased shares – 99.98 % approval.
Voting base and attendance • Total issued shares eligible to vote: 326.08 million. • No voting restrictions or shares entitling “against-only” votes were in place. • All seven directors attended the AGM, and Boardroom Share Registrars (HK) Limited acted as poll scrutineer.
With all resolutions passed, Century Legend retains its existing board structure, re-appoints BDO Limited as auditor, and secures flexibility for future share issues and buybacks within the approved limits.
