Wai Chun Bio-Tech Issues 22.50 Million New Shares After Convertible Bond Conversion in May 2026

Wai Chun Bio-Technology Limited reported that issued ordinary shares rose by 22.50 million in May 2026, lifting the total outstanding share count to 367.64 million as at 31 May 2026. No treasury shares were held or released during the month, and the public-float ratio continued to meet the 25% minimum requirement.

The entire increase stemmed from the partial conversion of the first tranche of convertible bonds. Bondholders converted HKD 1.35 million of principal (at HKD 0.06 per share), resulting in the issuance of 22.50 million new shares. Remaining principal under this tranche stands at HKD 55.65 million.

Across all four outstanding bond tranches, Wai Chun Bio-Tech now has HKD 103.05 million in unconverted principal, which could be exchanged into up to 1.68 billion additional shares at stated conversion prices (HKD 0.06–0.07).

The company’s share-option scheme was unchanged: 15.95 million options remain outstanding, exercisable at HKD 0.25 per share between 27 June 2025 and 26 June 2030. No warrants or other equity instruments were issued.

Authorised share capital stayed flat at 10.00 billion ordinary shares and 204.00 million convertible preference shares, equivalent to HKD 102.04 million in nominal value.

Overall, May’s activity increased the issued share base by 6.52% without affecting authorised capital or creating treasury stock, while convertible bonds remain the dominant source of potential future dilution.
