Guangzhou Xiao Noodles Catering Management Co., Ltd. (XIAO NOODLES) submitted a Next Day Disclosure Return after markets closed on 28 August 2026, outlining its latest share capital movements on the Hong Kong Stock Exchange.

The company bought back 102,500 H-shares on 28 August 2026 through on-market transactions at HKD 3.86–3.91 per share, for an aggregate consideration of HKD 0.40 million. These shares are designated for cancellation.

Despite the purchase, the total number of issued shares remained unchanged at 710.69 million as the repurchased stock has not yet been cancelled. Including the latest trade, the disclosure aggregates 90 repurchase transactions executed between 3 February and 28 August 2026, covering 19.65 million shares pending cancellation—equivalent to roughly 2.76 % of current issued share capital.

Xiao Noodles is operating under a shareholder mandate approved on 25 June 2026 that allows the repurchase of up to 71.07 million shares. To date, 2.33 million shares have been bought back under this mandate, representing 0.33 % of the shares outstanding when the mandate was granted. In line with Hong Kong Listing Rules, the company is subject to a 30-day moratorium on issuing new shares or disposing of treasury shares until 27 September 2026.

The board confirmed all repurchases were executed in accordance with applicable listing rules, regulatory requirements and the approved mandate.
