Sino-Ocean Serv Calls 21 May 2026 AGM, Proposes RMB0.0107 Final Dividend and Board Re-elections

Sino-Ocean Service Holding Limited has scheduled its 2026 annual general meeting (AGM) for 21 May 2026 at 10:00 a.m. in Beijing’s Ocean International Center. The meeting will consider seven principal matters:

1. Financial Statements and Reports • Shareholders will vote to adopt the audited consolidated financial statements and the directors’ and auditor’s reports for the year ended 31 December 2025.

2. Dividend Proposal • The Board recommends a final dividend of RMB0.0107 per share (approximately HKD0.0122). • If approved, the dividend will be paid on or around 15 June 2026 to shareholders on record as of 27 May 2026. Share transfer registration will be closed from 18 May to 21 May 2026, inclusive.

3. Board Composition • Re-election of three directors: Executive Director Mr. Hou Min, Non-executive Director Mr. Cui Hongjie and Independent Non-executive Director Mr. Leung Wai Hung. • Shareholders will also authorise the Board to determine directors’ remuneration.

4. Auditor Re-appointment • BDO Limited is nominated for re-appointment as auditor for the next financial year, with authority granted to the Board to fix its remuneration.

5. General Mandates • Issuance Mandate: Directors may allot and issue up to 20% of the Company’s issued shares, excluding treasury shares, during the defined mandate period. • Share Buy-back Mandate: The Company may repurchase up to 10% of issued shares, excluding treasury shares. • Extension Mandate: The issuance mandate can be extended by the amount of shares repurchased, capped at an additional 10% of issued shares.

6. Constitutional Amendments • Shareholders will vote on adopting a new amended and restated memorandum and articles of association, incorporating proposed updates detailed in the 28 April 2026 circular.

Key Administrative Dates • Eligibility to attend and vote at the AGM: shareholders must be on the register by 15 May 2026. • Deadline for proxy submission: 10:00 a.m. on 19 May 2026 (Hong Kong Time). • Dividend entitlement: shareholders must be on the register by 27 May 2026 to receive payment.

As of 28 April 2026, the Board comprises three executive directors (Yang Deyong, Hou Min, Zhu Geying), two non-executive directors (Cui Hongjie, Zhai Senlin) and three independent non-executive directors (Guo Jie, Ho Chi Kin Sammy, Leung Wai Hung).
