Prosper One International Holdings Company Limited will seek shareholder approval at its Annual General Meeting (AGM) on 16 October 2026 (Taian, Shandong) for several routine corporate mandates.
Key proposals 1. General Issue Mandate: Directors request authority to allot, issue or transfer up to 160.00 million new or treasury shares—representing 20% of the 800.00 million shares in issue (no treasury shares currently held) as at the latest practicable date of 25 August 2026. 2. Share Repurchase Mandate: The board asks for permission to repurchase up to 80.00 million shares, or 10% of outstanding equity, during the mandate period. Repurchased shares may be cancelled or held in treasury. 3. Extension of Issue Mandate: If both mandates pass, the share issuance limit can be increased by the number of shares actually repurchased and cancelled. 4. Board Refresh: Executive Director Liu Jiaqiang and Independent Non-executive Director Tian Zhiyuan retire by rotation and stand for re-election. Tian, an INED for over nine years, will be subject to a separate vote in line with Hong Kong listing rules. 5. Auditor Renewal: The board proposes re-appointing Fan, Chan & Co. Limited as independent auditor for the financial year ending 30 April 2027, with an estimated audit fee of HK$0.85 million.
Share capital and control implications • Controlling shareholder Prosper One Enterprises Limited, wholly owned by former Executive Director Meng Guangyin, holds 600.00 million shares (75.0% stake). Exercising the full 10% repurchase mandate would lift its interest to approximately 83.33%, still within public float requirements. • Directors confirm repurchases will be financed from legally available resources without materially affecting working-capital or gearing levels.
Procedural details • Share register closes 13–16 October 2026 (both dates inclusive); record date for voting entitlement is 16 October 2026. • Proxy forms must reach Boardroom Share Registrars (HK) by 10:00 a.m. on 14 October 2026. • All AGM resolutions will be decided by poll in accordance with Hong Kong Listing Rules.
