Mabwell (Shanghai) Bioscience Co., Ltd. (Mabwell, HKEX: 02493) reported that its Board of Directors approved resolutions on 30 August 2026 to widen the company’s business scope and revise corresponding clauses in its Articles of Association. The proposed changes will be presented to shareholders for approval at an upcoming extraordinary general meeting (EGM).
The expanded “general” business scope introduces new activities such as: • Development of human genetic diagnosis and therapy technologies • Research & development and application of cell-based technologies • Internet product sales (excluding items that require separate licences) • Agricultural scientific research and experimental development • Corporate management and information consulting services
These areas add to Mabwell’s existing focus on technology services, medical R&D, medical-device leasing, and import/export activities. In the “licensed” category, the company plans to include online food sales alongside established operations such as drug manufacturing, pharmaceutical wholesale/retail, health-food production and drug import/export.
Implementation of the broader scope and the updated Articles requires: 1. Passage of special resolutions by shareholders at the forthcoming EGM. 2. Completion of all requisite regulatory approvals, filings and business-registration updates in mainland China.
A circular detailing the proposed amendments and the EGM notice will be dispatched to shareholders and is available on the Hong Kong Stock Exchange website and Mabwell’s corporate site.
The Board, chaired by Dr Liu Datao, comprises nine directors—five executive and four independent non-executive members.
