China Tontine Wines Group Limited (Tontine Wines) disclosed on 6 August 2026 that it has received formal notice of High Court Miscellaneous Proceedings No. 1316 of 2026 in Hong Kong. The plaintiffs, Bon Voyage Development Limited and Mr. Wang He, allege improprieties surrounding the placing agreement signed with Minerva Holding Financial Securities Limited on 26 July 2026.

According to the notice served through C&T Legal LLP, the plaintiffs are requesting: 1) A declaration that the placing agreement is void and/or voidable at the Company’s option, and that certain directors’ votes in favour of the transaction were cast for improper purposes or in breach of fiduciary duties; 2) Injunctions to prevent any steps toward performance of the agreement or to compel its immediate termination; 3) Costs and any further relief deemed appropriate by the Court.

Tontine Wines has engaged legal advisers, intends to defend the claim rigorously, and anticipates formal service of court documents shortly. The Board currently believes the litigation poses no immediate material adverse impact on the Group’s operations or financial position but will continue to monitor developments and issue further announcements in line with Hong Kong Listing Rules.
