Dragon Rise Group Holdings Limited (“Dragon Rise”) has signed a blockchain agency agreement with a Hong Kong-based integrated blockchain service provider to launch a private tokenised limited-recourse note programme secured by income from its battery-swapping electric taxi fleet and infrastructure.
Under the agreement, the service provider—an independent subsidiary of an AI-driven global wealth-technology group—will act as token registrar, oversee token minting on Ethereum and Solana blockchains, maintain the register, and manage all lifecycle events for the tokenised notes.
Key terms of the Real-World Asset (RWA) project are as follows:
• Structure and Scale: Dragon Rise’s wholly owned DRNE Next Mobility Investment Limited will issue the notes, with Dragon Rise providing a guarantee. The programme carries a shelf quota of up to HK$100.00 million, with an initial HK$30.00 million tranche.
• Asset Backing: Cash flows from the company’s battery-swapping taxi fleet and related charging infrastructure will be converted into on-chain, fractionalised digital assets, enhancing traceability and transparency.
• Investor Profile: Subscriptions are restricted to Hong Kong “professional investors” under the Securities and Futures Ordinance, with a minimum commitment of HK$0.40 million per investor.
• Return Profile: Each note has a two-year lock-up, featuring a 4% fixed annual coupon plus a performance-linked component of up to 6% per annum. Dragon Rise guarantees both principal and the fixed coupon for the first tranche.
Management highlighted that tokenisation lowers entry barriers, improves liquidity, and enhances cash-flow visibility for investors, while enabling the Group to recycle capital into additional electric vehicle and battery-swapping deployments. The initiative aligns with Dragon Rise’s broader strategy to scale its green mobility ecosystem and may serve as a template for compliant tokenisation of infrastructure assets in Hong Kong.
