Solis Holdings Limited has applied to the Hong Kong Stock Exchange for a second waiver from strict compliance with Listing Rule 14.41(a), citing the need for additional time to finalise its major-transaction circular concerning the proposed disposal option.
Rule 14.41(a) requires the circular to be dispatched within 15 business days of the initial announcement dated 2 February 2026, setting an original deadline of 26 February 2026. A first waiver extended that deadline to 26 March 2026. Solis now states that more time is needed to address exchange comments and update the working-capital statement and statement of indebtedness before issuing the document.
The company will publish further announcements on the Stock Exchange’s website once the exchange rules on the second waiver application and a revised dispatch date is confirmed.
As at 26 March 2026, the board consists of Executive Chairman Tay Yong Hua, Executive Director Kenneth Teo Swee Cheng (Kenneth Zhang Ruiqing), and three independent non-executive directors: Carolyn Seet Su Lin, Choong Pei Nung and Kwong Choong Kuen (Huang Zhongquan).
