China Biotech Services Holdings Limited will convene its annual general meeting at 11:00 a.m. on 15 June 2026 at Suites 1904-05A, 19/F, Sino Plaza, 255-257 Gloucester Road, Causeway Bay, Hong Kong. Shareholders are invited to vote on six ordinary resolutions detailed in the proxy circular.
Key agenda items are as follows:
1. Financial statements • Approval of the audited consolidated financial statements, together with directors’ and auditors’ reports, for the year ended 31 December 2025.
2. Board composition and remuneration • Re-election of Executive Directors Dr. Huang Song and Dr. Yin Ye. • Re-election of Independent Non-Executive Directors Dr. Guo Yuantao and Dr. Zhang Xiao. • Authorisation of the board to determine directors’ remuneration.
3. Auditor re-appointment • Renewal of RSM Hong Kong as external auditor and authority for the board to fix its remuneration.
4. Capital management mandates • Share repurchase mandate: authority for directors to buy back shares representing up to 10% of the Company’s issued share capital (excluding treasury shares) as at the date of the resolution. • Share issuance mandate: authority to allot and issue new shares up to 20% of the issued share capital (excluding treasury shares) as at the date of the resolution. • Extension mandate: authority to increase the issuance limit by the aggregate number of shares repurchased under the buyback mandate.
Shareholders may appoint proxies to attend and vote; completed proxy forms must be lodged with Union Registrars Limited no later than 48 hours before the meeting. Attendance in person remains an option, in which case previously submitted proxies will be deemed revoked.
