China Demeter Financial Investments completes HK$16.26 million share placing, enlarging issued capital by 16.67%

China Demeter Financial Investments Limited announced the completion of its share placing under the existing general mandate on 15 May 2026. All conditions in the placing agreement have been met.

The transaction involved 27.10 million new shares placed to no fewer than six independent investors at HK$0.60 per share, expanding the company’s issued share capital to 162.63 million shares. The newly issued shares represent approximately 16.67% of the enlarged share base.

Gross proceeds totalled HK$16.26 million, while net proceeds after fees reached HK$15.81 million. Management intends to apply the funds as previously disclosed: • about 80% for repayment of existing borrowings and related interest; • about 10% for developing agricultural products and alcoholic-beverage operations in Mainland China, covering legal, professional and marketing expenses; • about 10% to replenish general working capital, including staff costs and other operating expenses.

Post-placing, public float rose as the placees now hold 16.67% of the company. Key shareholders’ stakes were diluted proportionally, with Trinity Worldwide Capital Holding Limited decreasing from 10.77% to 8.97%, and Chairman Ng Man Chun Paul’s direct holding staying at 0.24%.

The board confirms that all placees and their ultimate beneficial owners are independent third parties and that no placee became a substantial shareholder as defined by GEM Listing Rules.

As of the announcement date, the board consists of three executive directors—Ng Man Chun Paul (Chairman), Ng Ting Ho (CEO) and Chan Chi Fung—and three independent non-executive directors—Chan Hin Hang, Hung Kenneth and Ng Ching.
