Golden Leaf International Group Limited will hold its annual general meeting on 22 September 2026 at 11:00 a.m. (28/F, New Venture Centre, 18 Lam Tin Street, Kwai Chung, Hong Kong).
Key matters to be decided:
• Financial Statements: Shareholders will vote on the adoption of the audited consolidated financial statements and the accompanying directors’ and independent auditor’s reports for the year ended 31 March 2026.
• Board Re-elections: Six directors are standing for re-election—executive directors Mr. Ip Kam Yik, Mr. Lui Kwok Kit and Ms. Ip Tsz Kwan, together with independent non-executive directors Mr. Wong Chun Kat, Mr. Lin Wai Chong and Mr. Chan Kai Chung.
• Directors’ Remuneration: The board seeks authority to set directors’ remuneration for the financial year ending 31 March 2027.
• Auditor Appointment: Moore CPA Limited is nominated for re-appointment as independent auditor for the year ending 31 March 2027, with remuneration to be fixed by the board.
• Issuance Mandate: Directors request a general mandate to allot and issue new shares up to 20% of the company’s issued share capital as of the meeting date.
• Repurchase Mandate: A separate mandate would allow the company to repurchase its own shares up to 10% of the issued share capital.
• Mandate Extension: Subject to the approval of the above mandates, the share issuance mandate may be extended by the number of shares repurchased under the buy-back authority.
Proxy forms must reach Computershare Hong Kong Investor Services Limited no later than 48 hours before the meeting. Shareholders who attend and vote in person will automatically revoke any previously lodged proxy instructions.
