UNQ Holdings AGM: All Resolutions Secure 100% Support, HK$0.25 Final Dividend Confirmed

UNQ Holdings Limited announced that shareholders delivered unanimous approval on every agenda item at the 29 June 2026 annual general meeting, clearing the way for a cash dividend and refreshed corporate mandates.

Poll outcome • All nine resolutions—covering adoption of 2025 financial statements, dividend distribution, board re-elections, auditor appointment, share-issue and buy-back mandates, and amendments to the memorandum and articles—received 70.40 million votes in favour, representing 100% of votes cast. • No votes were recorded against any resolution, and no shareholder abstentions were reported.

Dividend distribution • A final dividend of HK$0.25 per share for the year ended 31 December 2025 will be paid on 17 July 2026. • Based on the 165.89 million shares in issue, the total cash outlay will amount to approximately HK$41.47 million. • The register of members will be closed from 6 July to 8 July 2026, with 8 July set as the record date. Share transfers must be lodged by 4:30 p.m. on 3 July 2026 to qualify for the payout.

Board and auditor matters • Executive Director Mr. Shen Yu and Independent Non-executive Directors Mr. Wei Hang and Ms. Xin Honghua were re-elected. • BDO Limited was re-appointed as external auditor, with the board authorised to fix its remuneration.

Capital management authorities • Directors received a fresh mandate to issue new shares—up to 20% of issued share capital—and to repurchase shares representing up to 10% of issued capital. • An additional mandate allows any repurchased shares to be added to the issuance limit.

Constitutional update • Shareholders approved the adoption of the fourth amended and restated memorandum and articles of association, reflecting regulatory updates and corporate governance enhancements.

Attendance and administration • Seven directors, including Chairman Mr. Wang Yong, attended the AGM in person or via electronic means. • Computershare Hong Kong Investor Services acted as scrutineer for the poll.

With unanimous shareholder backing, UNQ Holdings enters the second half of 2026 with refreshed governance mandates and a confirmed capital return to investors through its HK$0.25 per-share final dividend.
