Agile Group to Divest Non-Core Environmental Assets for RMB1.15 Billion

Agile Group Holdings Limited has signed a formal agreement on 27 March 2026 to sell its environmental-protection-related assets (“Target Assets”) for RMB1.15 billion. The purchaser’s identity was not disclosed in the announcement. Completion is conditional on customary precedent conditions, and the transaction does not meet the thresholds for a notifiable transaction under Hong Kong Listing Rules Chapter 14.

Management stated that proceeds will be channelled primarily toward repaying existing debt and other operational liabilities. The Target Assets are classified as non-core, and their disposal is intended to sharpen focus on Agile Group’s principal businesses of property development and property management, improve cash flow, and reduce liabilities and interest expenses.

The board considers the terms of the agreement fair and reasonable and does not expect a material impact on ongoing operations or the scale of the Group’s core activities.
