HTSC Declares 2026 Interim Dividend and Lowers Convertible Bond Conversion Price

Huatai Securities Co., Ltd. (HTSC) approved a 2026 interim cash dividend of RMB 0.18 per share. Based on the 9.03 billion shares outstanding as of 30 June 2026, total payout will reach RMB 1.62 billion, equivalent to 13.90 % of first-half consolidated net profit and 31.97 % of the parent-company distributable profit for the period.

The dividend is payable to shareholders on record as of 17 September 2026. H-share investors (excluding Hong Kong Stock Connect participants) may elect to receive the distribution in either Hong Kong dollars or renminbi; the HKD amount has been fixed at HK$0.208019 per share, calculated at the PBOC’s average RMB/HKD rate of 0.865306. Cheques are scheduled for mailing on 23 October 2026.

The profit allocation does not require further shareholder approval, as the board was previously authorised at the 2025 AGM to determine interim distributions provided the cash-dividend ratio stays within 30 % of period earnings.

In tandem with the dividend, the conversion price of HTSC’s HK$10.00 billion zero-coupon convertible bonds due 2027 will be reduced for a second time—from HK$19.13 to HK$18.89 per H share—effective 18 September 2026, the day after the dividend record date. The adjustment raises the maximum H shares issuable upon full conversion to 529.38 million, an increase of 6.64 million shares.

All other bond terms remain unchanged, and the additional conversion shares fall within the existing general mandate of up to 1.81 billion H shares. Application for listing of the new shares will be made to the Hong Kong Stock Exchange.
