China Biotech Services Holdings Limited announced that the Stock Exchange of Hong Kong has approved its application for a waiver under Rule 19.41(a) of the GEM Listing Rules, allowing a revised timetable for the issuance of a shareholder circular related to a major asset disposal.
The circular—covering full details of the Sale and Purchase Agreement for the disposal of 100% of the issued share capital in PHC Medical Diagnostic Centre Limited and Premier Medicare Services Limited—was initially scheduled for distribution on or before 9 June 2026. Additional time is required to finalise information, and the new despatch deadline has been extended to 26 June 2026.
The waiver removes the risk of non-compliance with GEM Listing Rules during the preparation of the circular, while the disposal remains subject to shareholder review upon receipt of the finalised document.
Board composition currently comprises three executive directors—Liu Xiaolin (Chairman), Huang Song and Yin Ye—and three independent non-executive directors—Yan Guoxiang, Guo Yuantao and Zhang Xiao. All directors collectively accept responsibility for the accuracy and completeness of the information disclosed.
