Hua Lien International to Seek Fresh Share Mandates, Director Re-election and Auditor Renewal at 28 May 2026 AGM

Hua Lien International (Holding) Company Limited has dispatched its AGM circular, outlining five key resolutions to be put to shareholders on 28 May 2026 at 11:00 a.m. in Central, Hong Kong.

1. Share Issue Mandate • Directors request authority to allot and deal with up to 438.24 million new shares—20 % of the 2.19 billion shares in issue (excluding treasury shares) as at 23 April 2026. • The mandate will run until the earlier of the next AGM, the statutory deadline for that meeting, or shareholder revocation.

2. Share Repurchase Mandate • Board seeks approval to buy back up to 219.12 million shares, representing 10 % of issued share capital. • Any repurchased shares may be cancelled or held as treasury stock; subsequent sale of treasury shares would fall under the proposed issue mandate.

3. Extension Mandate • If the repurchase mandate is exercised, the number of shares repurchased can be added to the issue mandate, effectively increasing the issuance ceiling.

4. Board Composition • Five directors—executives Wu Shurong, Wang Xiang and Huang Liping, plus independent non-executives Ma Yiu Tim and Cheng King Yip—are standing for re-election. • The Nomination Committee supports all five candidacies, noting Mr Ma’s four-decade legal career and Mr Cheng’s governance and ESG expertise.

5. Auditor Re-appointment • The Board recommends re-appointing BDO Limited for another term, with audit fees estimated at HK$0.65 million–HK$0.70 million for the next financial year.

Key Administrative Dates • Proxy forms must reach Union Registrars by 11:00 a.m., 26 May 2026. • Share transfer books close at 4:30 p.m., 21 May 2026—the record date for voting entitlement.

All AGM resolutions will be decided by poll, with results announced in line with Hong Kong Listing Rules.
