CBHB Appoints Zhang Tianyuan as Company Secretary After Zhang Xiao’s Resignation

China Bohai Bank Co., Ltd. (CBHB) announced that Zhang Xiao has resigned as Company Secretary and Authorized Representative under Hong Kong Stock Exchange Listing Rule 3.05, effective 28 August 2026, due to a change in work arrangement. Zhang Xiao confirmed no disagreement with the board and no matters requiring shareholder or exchange attention.

Effective the same date, the board appointed Zhang Tianyuan as the new Company Secretary and Authorized Representative. Zhang Tianyuan is a senior officer at SWCS Corporate Services Group (Hong Kong) Limited and holds associate membership in both the Hong Kong Chartered Governance Institute and the Chartered Governance Institute in the United Kingdom, bearing the titles of Chartered Secretary and Chartered Governance Professional. His academic background includes: • Bachelor’s degree in Applied Biology, Hong Kong Baptist University (2016) • Master’s degree in Information Technology in Education, University of Hong Kong (2021) • Master’s degree in Corporate Governance, Hong Kong Polytechnic University (2025)

The board expressed appreciation for Zhang Xiao’s contributions during her tenure. As of the announcement date, CBHB’s board consists of two executive directors (Wang Jinhong, Qu Hongzhi), seven non-executive directors, one employee director, and six independent non-executive directors.
