Asset Chain pledges HK$3.00 million for 10% stake in new US$4.50 million stablecoin JV

Asset Chain Limited (Stock Code: 00616, “Asset Chain”) has signed a binding agreement to subscribe HK$3.00 million for a 10% equity interest in a newly formed joint-venture company (“JV Company”). The JV will focus on developing and investing in stablecoin initiatives, cross-border clearing and settlement infrastructure, real-world asset tokenisation and security tokenisation.

• Total capital raise: The JV Company targets approximately US$4.50 million from five to ten subscribing parties. • Asset Chain’s commitment: HK$3.00 million for a 10% shareholding. • Transaction classification: The investment, if completed, will not be a notifiable transaction under Hong Kong Listing Rules. • Payment status: Subscription funds have not yet been remitted; completion remains subject to payment.

Background

The agreement follows a memorandum of understanding announced on 24 December 2025, in which Asset Chain and prospective partners outlined plans for the JV. The latest update confirms conversion of that MOU into a definitive subscription agreement.

Investor considerations

Asset Chain cautions shareholders and prospective investors that payment may or may not proceed. Until funds are transferred, there is no assurance the transaction will close.

Board composition remains unchanged, with Mr. Lai Law Kau serving as Chairman and Chief Executive Officer.
