CAI Corp: Independent Shareholders Deliver 100% Vote in Favour of Subscription Agreement and Specific Mandate

CAI Corp announced that the single ordinary resolution tabled at the Extraordinary General Meeting (EGM) on 6 August 2026—covering approval of the Subscription Agreement and the related Specific Mandate for issuing Subscription Shares—was passed with unanimous support from voting independent shareholders.

The company’s share capital stood at 2.18 billion shares on the EGM date. Longling Capital and Chairman Cai Wensheng, together holding 1.33 billion shares (61.07 %), were required to abstain from voting, leaving 847.99 million shares eligible to vote.

Union Registrars Limited acted as scrutineer for the poll. All six directors—Mr. Hong Yupeng, Mr. Lui Cheuk Hang Henri, Mr. Cai Wensheng, Professor Li Jin, Ms. Hsieh Ya-fang and Mr. Li Jianbin—attended the meeting in person or electronically.

With more than 50 % of the votes cast in favour, the resolution was duly adopted as an ordinary resolution of CAI Corp.
