Prosper One International Holdings Company Limited announced that Executive Director Ms. Meng Zichao resigned with effect from 5 June 2026 to focus on personal commitments, simultaneously stepping down from the Board’s Nomination Committee.

Following Ms. Meng’s departure, Prosper One’s six-member Board—comprising Chairman and CEO Liu Guoqing, Executive Directors Liu Jiaqiang and Li Dongpo, and Independent Non-Executive Directors Tian Zhiyuan, Wang Luping, and Gao Jizhong—now consists solely of male directors. This configuration does not satisfy Hong Kong Listing Rule 13.92(2), which requires gender diversity on the Board, nor Code Provision B.3.5, mandating at least one director of a different gender on the Nomination Committee.

The company is searching for a qualified female candidate to fill both the Board and Nomination Committee vacancies within three months of the resignation date to restore compliance. Prosper One stated it will release further announcements as appropriate.
