Ziyuanyuan Holdings Group Limited (abbreviated as ZYY) released an announcement on 13 April 2026 detailing the latest composition of its Board of Directors and related committee memberships.

The Board now comprises six members: two Executive Directors, one Non-Executive Director and three Independent Non-Executive Directors. Executive Director Mr. Zhang Junshen continues to hold dual roles as Chairman and Chief Executive Officer, while Mr. Tian Zhiwei remains an Executive Director. Ms. Li Xinpei serves as the sole Non-Executive Director.

Independent oversight is provided by Mr. Chan Chi Fung Leo, Dr. Deng Bin and Mr. Hu Tao. Among them, Mr. Chan chairs the Audit Committee, Dr. Deng leads the Remuneration Committee, and Mr. Zhang heads the Nomination Committee.

Committee composition is as follows: • Audit Committee: Mr. Chan Chi Fung Leo (Chairman), Dr. Deng Bin and Ms. Li Xinpei. • Remuneration Committee: Dr. Deng Bin (Chairman) with Mr. Tian Zhiwei and Mr. Chan Chi Fung Leo as members. • Nomination Committee: Mr. Zhang Junshen (Chairman) supported by Mr. Chan Chi Fung Leo and Dr. Deng Bin.

These appointments reinforce ZYY’s corporate governance structure by delineating clear responsibilities across audit, remuneration and nomination functions.
